[users@httpd] cgi-shell
Some one ran cgi-shell on my web-server from within php (system(./cgi-shell-start))
now, before the cgi-shell telnet server has died,
if i restart my apache, the cgi-shell takes up port 80 and 443
is this a bug in apache or in cgi-shell?

Are you up to date with both apache and php? I remember this issue
being addressed recently, but I can't remember whether the fix was in
apache or php.
