A cut at update to charter.txt

Peoples,

As requested, have checked in a first cut (stake in the ground) update
to the charter to try to encompass the PMC structure and election
process. I have been a bit vague in a few areas (e.g. how to vote in
Chair) as I am not sure of the details. Have also tried to incorporate
in David Marston's comments from this morning.

On another note - a very quick question (from a person with no legal
background whatsoever, but who read the bylaws in an effort to ensure
the charter was correct) ...

Section 6.3 of the bylaws discusses the PMC and the members of the PMC.
  To quote :

"....Project Management Committees consisting of at least one officer of
the corporation, who shall be designated chairman of such committee, and
may include one or more other _members of the corporation_...."

(My emphasis)

As I understand it we get past the PMC Chair being an officer by
recommending that person to the Board, who appoints her/him as said officer.

But my reading of the above is that all members of the PMC must be
members of the corporation. I know I'm not, so are we correct in what
we are doing, or is there something else of which I am not aware?

And, going one step further, doesn't it make sense to ensure (at the
very least) that a Chairperson is a formal member of the foundation?

Anyway - probably none of my business :>, but I want to make sure what
we are doing is in the spirit of the bylaws.

Cheers,
	Berin

My reading is that PMC's *may* include one more other members, but are
not required to.

I was chair for a year before becoming a member.

Speaking of which, does any body have any nominations for a new chair?

I just went ahead and checked this in - I think this was always the
intent given the other changes that were done around defining how a
person becomes inactive.

If there are any problems with that, let me know. Easy to revert.

I've been pretty swamped until today, now I just put my lawyer hat on
(yes, I'm a lawyer... well, you don't want to know... ;-)) and I've read
carefully the charter. Random notes:

1. para 6.3 of the ASF bylaws is somehow unclear, infact it might
suggest that a PMC chair might be anyone, but other than that only
members can be part of a PMC. Given, anyway, that this is definitely not
the case for most PMC I know of and/or participate to (despite not being
a member), my take is that the Board is aware of that and have decided
for an extensive interpretation of such article, since it doesn't
actually forbid non ASF members to be part of a PMC (although I was
actually unable to find a board minute or resolution stating that -
probably my bad);

2. I still think that para 6.1 of the XML charter, second phrase, should
be changed from

"New committers are added when a developer is nominated by a committer
and approved by at least 50 percent of the committers for thatsubproject
with no opposing votes."

to

"New committers are added when a developer is nominated by a committer
and approved by at least 50 percent of the *active* committers for
thatsubproject with no opposing votes."

a small change, but might help in avoding stalls for projects with a few
activity but a good number of committers, mostly inactive. Take xindice
as an example: we have roughly 16 committers, but only 3-4 of them are
actively following the list. Given this situation we might have an hard
time letting interested people in (and this happened in the past when we
had to send private emails to wake up people and have them vote).

Other than that, I'm fine with it. Thanks Berin for cleaning it up,
looks much more readable now.

Ciao,

I'm quite happy with it (rev 1.13).

The only thing I see is the following: "Bugzilla" is avoided in favor of
"bug database" whereas there's "CVS" in several places where we probably
should talk about "source repository" because there's the possibility
that a move to Subversion may happen in the next months/years. Just a
thought. Not a blocker IMO.

Does anyone have any outstanding issues with this version of the
charter? Are we ready for a vote?
