This affects me running Apache 2.0.55 on Windows 2003 Server as well. For me,
rotatelogs.exe always will keep running, even when restarting or shutting down
the Apache process.

This issue: http://issues.apache.org/bugzilla/show_bug.cgi?id=24805
mentions a patch only for the prefork worker - perhaps it's not fixed for mpm_winnt?
