HIGH_SLACK_LINE is not supported in 2.0.  I suppose you've looked at ulimit?
Did you try to find what descriptors were in use at the time of failure?
That is probably tricky :)  Put <IfModule george.c> around half the vhosts
and start Apache and run lsof on Apache to see if Apache is opening files
you wouldn't expect.
