Win2k - BSOD when stopping Apache2 service with Service Snap-in

OS: Win2k Server SP2 + crit. updates as of 17-APR-2002
IE: 5.01 SP2

%JAVA_HOME% = d:\jdk1.3.01
%APACHE_HOME = d:\Apache\Apache_httpd_2.0.35
%ANT_HOME% = d:\Apache\jakarta-ant-1.4.1
%CATALINA_HOME% = d:\apache\Tomcat_4.0.3

Services:
Apache Tomcat  "automatic" listen_port:8080 (defaults) (stand-alone)
Apache2  "automatic" listen_port:80 (defaults)

Apache_2.035 docRoot d:\web_docs

steps:
1) Boot machine
2) Attempt to use "Services" snapin to stop Apache2

Behavior:
Service attempts to stop Apache2 but times out (un-able to stop service), then 
dumps within 2 min to BSOD - mem dump -"LOCKED PAGES"

FYI Also:
Changed services (Apache & Tomcat - did not start tomcat) to "manual" -> same 
result).

Will not release if run from cmd either.

Locks "task manager" up when trying to use "task manager" to end process.

Re-boot necessary to cure problem.

"Runs fine if no restart of service is needed w/o rebooting entire server."
