C CGI not working

I have a C CGI which works fine with Apache 1.3.23 but with Apache 2.0.36
it executes a couple of times and then I receive

Error message: 
couldn't create child process: 22: C:/Inetpub/Scripts/Neec.exe 
If you think this is a server error, please contact the webmaster

I am using the already compiled version of Apache (ie I downloaded the binaries 
version only)
