Lexical error in parsing

We trying to parse an XML file and basically velocity blows up when it came
across :

   &apos;

It's complaining about a lexical error encountered "a" after "&". Does this
means anything to anyone? Why would this be illegal?
Any help is appreciated. Thanks.
