I have the same problems...
Used the Windows installer (MSIEXEC version 2.00.2600.2) with the file 
apache_2.0.49-win32-x86-no_ssl.msi.  This added the following registry entry...
"Apache2"="\"C:\\PROGRAM FILES\\APACHE GROUP\\APACHE2\\BIN\\APACHE.EXE\" -n 
Apache2 -k runservice"
to the registry key...
[HKEY_LOCAL_MACHINE\Software\Microsoft\Windows\CurrentVersion\RunServices]

As far as starting/stopping the "service"...
1 - The Apache Service Monitor doesn't appear to communicate with the service, 
either to start it or stop it.

2 - The service doesn't seem to respond correctly to the Windows shutdown 
(internal) message - possibly Windows 98SE does not provide enough time on a 
slow PC.  The Windows dialog appears (titled: APACHE) stating "You must quit 
this program before you quit Windows."

3 - The service seems to actually shutdown OK if the user clicks "cancel", and 
then tries AGAIN to shutdown Windows.

4 - The command installed in the Start Menu works to start the service, with...
"C:\Program Files\Apache Group\Apache2\bin\Apache.exe" -w -n "Apache2" -k start
