at
org.apache.soap.server.DeploymentDescriptor.fromXML(DeploymentDescriptor.java:398)
at

Im using Apache 1.3.14, Tomcat 3.2.1, IBM Web Services Toolkit 2.1, JDK 1.3

Try to change the tomcat.bat in the following way:
rem set CLASSPATH=%CLASSPATH%;%cp%
set CLASSPATH=%cp%;%CLASSPATH%
and there is a good chance the it works.
Good luck,
